1. Scope
These Terms apply to all quotations, orders and agreements between Inzha Elevator & Escalator (Pvt.) Ltd. (“Inzha”) and the Customer for sales, installation, fabrication, maintenance and modernization of elevators, escalators and related equipment. They prevail over any conflicting Customer terms unless agreed in writing. Quotations are valid for 30 days.
2. Prices & Payment
Prices are in PKR and exclude applicable taxes unless stated. Unless the agreement says otherwise, new installations are payable 70% advance, 25% on delivery of materials to site, 5% on completion of installation and handover. Maintenance fees are invoiced in advance. Invoices are payable within 30 days; Inzha may charge late-payment interest and suspend work or service on overdue accounts. Equipment remains Inzha’s property until paid in full.
3. Customer Responsibilities
The Customer shall provide safe, timely access to the site, machine room, pit and hoistway; a stable power supply, lighting and ventilation; completed civil and builder’s work as per Inzha’s drawings; and a locked, dry, clean machine room. The Customer shall report any fault or unsafe condition immediately, take faulty equipment out of service, and not allow anyone other than Inzha to repair, adjust or modify the equipment.
4. Maintenance Services
Routine maintenance covers scheduled inspection, lubrication, adjustment and testing at the agreed frequency. Parts, repairs and callouts are covered only if the contract is expressly comprehensive; otherwise they are charged separately. Response times are targets, not guarantees. Damage caused by vandalism, misuse, flood, fire, power surges, water ingress, accidents or third-party work is excluded.
5. Delivery & Handover
Dates are estimates and may be extended for Customer delay, incomplete site readiness, late approvals, authority requirements or events beyond Inzha’s control. Changes in scope must be agreed in writing and may affect price and time. Equipment is deemed accepted on written acceptance, on commercial use, or if no material defect is reported within 7 days of handover notice. Statutory inspections, licences and permits are as stated in the agreement; authority fees are borne by the Customer.
6. Warranty
New equipment supplied and installed by Inzha is warranted against defects in materials and workmanship for 12 months from handover. Inzha will repair or replace defective parts at its option. The warranty excludes wear and tear, consumables, misuse, vandalism, accidents, unauthorized repair or modification, power or environmental faults, and equipment not supplied by Inzha.
7. Contract Term & Termination
Maintenance contracts run for the agreed term and renew automatically for the same period unless either party gives 60 days’ written notice before expiry. Either party may terminate for material breach not remedied within 30 days of notice. Inzha may suspend or terminate immediately where equipment is unsafe, access is denied or payment is overdue. Early termination by the Customer without cause does not release outstanding fees.
8. Safety & Compliance
Both parties shall comply with applicable safety, building and lift/escalator laws. Inzha may stop work or remove equipment from service if conditions are unsafe. The Customer remains responsible for occupants and the public, including warning notices and barriers while equipment is out of service. Upgrades required by changes in law or code are quoted separately.
9. Liability & Insurance
Nothing excludes liability that cannot be excluded by law. Otherwise Inzha is not liable for indirect or consequential loss, including loss of profit, business or downtime, and its total liability under an agreement is limited to the fees paid under that agreement in the preceding 12 months. The Customer shall maintain property and public liability insurance for the building and equipment and shall indemnify Inzha against claims arising from the Customer’s breach or unauthorized interference with the equipment.
10. Force Majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, strikes, government action, material shortages or utility failure. If such an event continues beyond 90 days, either party may terminate the affected services on written notice.
11. Confidentiality & Intellectual Property
Each party shall keep the other’s non-public information confidential. All drawings, designs, software, firmware and manuals remain Inzha’s property and may be used by the Customer only to operate and maintain the equipment. Inzha may process contact and site data, and operational data from remote monitoring, to deliver and improve its services.
12. General
These Terms and the signed quotation or contract form the entire agreement. Changes must be in writing. If any provision is unenforceable the rest remains in effect. The Customer may not assign the agreement without Inzha’s written consent; Inzha may subcontract work while remaining responsible for it.
13. Governing Law & Disputes
These Terms are governed by the laws of the Islamic Republic of Pakistan. The parties shall first try to settle disputes by good-faith negotiation for 30 days, failing which the courts at Islamabad shall have jurisdiction.
